TERM SHEET

Type of Funding
- Private structured project funding on a Joint-Venture basis. The funding is up to 100% of the amount required.
- Minimum amount of funding is EUR/USD 5.0 million to a maximum of EUR/USD 40.0 million

Required Collateral
- It is a pre-condition that Client shall provide a for the full amount of the funding/investment requested.
- However, should client not able to provide the collateral on their own, they may opt to request the Funder/investor to acquire the collateral on their behalf.
- Under the option where Funder/investor acquires the collateral on client’s behalf, the client will responsible to bear/pay for the transmission charges; bank’s; Law Firm’s & other related costs.

Bank Charges & Other Related Costs (i.e. the Capital)
- The “Capital” for the Collateral which Client shall bear/pay is 0.7% of the amount of funding/investment needed.
- After signing the JV-Agreement, Client shall be on-boarded with an appointed Law Firm to open a Trust Account under Client’s name and control, for placement of the “Capital”.

On Boarding with Appointed Law Firm
- Client shall be introduced to and be “on-boarded’ with an appointed Law Firm for placement of the capital prior to actual payment described in item 2 above.
- Presently, the appointed Law Firms are situated in the United Kingdom; Germany; Switzerland and Austria.
- The above said “Capital” is inclusive of “on boarding”; due diligence; fund transfer fees; and other related costs to the Law Firm.

Agreements Other Related Document
- Agreements involve are :-
a) Joint Venture Agreement
b) Shareholders’ Agreement
c) Appointment Letter (Law Firm)
d) Mandate Letter (Law Firm)
- These shall be signed and executed before the 1st disbursement of funds.

Tenor
- 2 to 5 years. Depend on nature of business.

Interest
- Simple interest at a rate of between 2.0% to 3.0% per annum.

Moratoriums
- Moratoriums may be offered as follows but no later than:
a) Six (6) months for interest
b) Twelve (12) months for principal sum

Equity Uptake (Nego)
- Funder shall take up equity in the company either through its ordinary shares or preferential shares.
- Depend on nature of business and subject to risk assessment on client; country and project, the equity uptake is 30% to 70% of company’s total share capital.

1st Disbursement
- The 1st disbursement of the investment fund shall be within Sixty (60) International Banking Days after the Collateral has been received; successfully verified and authenticated by the Funder’s/Investor’s bank.
- Subsequent disbursement shall be according to the mutually agreed “Disbursement Schedule”

Schedule of Repayment
- The return of the invested fund shall be on a monthly basis.
- There is no early “repayment” penalty.

Return of Shares
- Upon full return of the invested fund, 50% of the equity held by the Funder/Investor shall be returned to the Client. The return of the shares to the Client shall be at a minimal rate i.e. sufficient for the purpose of facilitating a legal transaction of such a return of Ordinary shares.
- The balance 50% of the equity held, may be returned 12 months thereafter on a buyback basis at a price to be mutually agreed.

Representation in the Company’s Board
- Funder/Investor shall have representation in the Company’s Board comprising of One (1) Director and One (1) Alternative Director.

Home Country Regulatory Compliance
- The Client is fully responsible to fulfill; adhere to and comply with their home country’s banking and financial regulations with regards to receiving “offshore“ investment funds for project funding.

Application Document
- The following document are required to request and apply for the funding: -
a) Client’s Information Sheet (CIS)
b) Coloured Passport copy of authorized signatory
c) Copy of Company’s incorporation certificate
d) Project Executive Summary
e) Business Plan including Projected Cash flow
f) Proof of Fund for the “Capital”
g) Proof of Address
- Initial application is to be emailed to the Country’s Representative for recommendation and submission to the Funding Party.

Facilities Arranger & Fee Protection Agreement
- Client shall sign a separate Facilities Arranger Agreement with the “Introducer/Intermediaries and Consultant” for their services in arranging the funding for Client.
