EXECUTIVE GROUP CORPORATE SECRETARIAL SERVICES

Requirements:
/ Candidate must possess at least a Bachelor's Degree, Professional Degree or Master's Degree in Secretarial, Law or equivalent.
/ At least 5 year(s) of working experience in the related field is required for this position.
/ Good knowledge of corporate secretarial framework

Descriptions:
/ Coordinate the smooth running of MISC Berhad?s Board Meetings, General Meetings, Committee Meetings & Management Committee Meetings and MISC Group of Companies? Board Meetings & General Meetings by ensuring all administrative matters are taken care of such as meeting papers are compiled and distributed to the relevant parties prior to the meetings and first draft Board Meeting minutes are issued within time.

/ Draft Directors? resolutions and Members? resolutions as per business requirements.

/ Timely update and proper maintenance of corporate secretarial records.

/ Prepare various secretarial documents and statutory forms to comply with all regulations and requirements of the regulatory bodies.

/ Submission of announcements and disclosures to Bursa Malaysia via Bursa Link.

/ Assist in the production of MISC Berhad?s Annual Report.

/ Attend to corporate assignments from time to time and such other requisite documentations relating to any corporate exercise.

/ Develop internal standard operation procedures in relation to company secretarial practice.

/ Liaise with external Company Secretaries of joint venture companies & related companies of MISC Berhad in complying with overseas regulations.

EXECUTIVE CONTRACT MANAGEMENT, FLEET PERSONNEL

Requirements:
x Degree in marine related fields or Degree in Law or Degree in Business Administration.
x Minimum 1 years experience in shipping related industry and preferably with experience in.
x Experience and familiar in Employee Relation area.

Descriptions:
x Coordinate and monitor the Cadetship Agreement to ensure all the mandatory requirement, data authentication, supporting documentation are in order (stamping) and executed for its validity

x Identify, compile and monitor cadetship training agreement and rating agreement for any cases of Breach of Contract (BOC) must be file and submitted to Legal for appropriate action

x Liaise with Manning Agencies & our Legal Department to ensure contracts within legal guidelines and right context to safeguard our Corporate interests at all times. Ensure data authentication, supporting documentation are in order (stamping) and executed for its validity

x Review & Monitor validity of contracts to ensure up-to-date requirements and timely renewal

x Liaise with Tender & Contracts to coordinate and implement the Tender Process in identifying vendors for Department to ensure it is according to the Company?s approved Procedures & Guidelines

x Facilitating crewing contract management to ensure the agents standardized rates and optimum cost are managed to protect Company?s interest-to review its wordings

- Plan, manage & develop the policy and guidelines relating to disciplinary enforcement for sea staff to ensure adherence of natural justice and protect the Company?s interests.

- Plan, manage and monitor the disciplinary inquiry proceedings and issuance of disciplinary correspondence relating to sea staff to ensure completion of disciplinary process as planned and at the same time dispensing justice to the affected sea staff.

- Plan, manage and develop the policy and guidelines related to employee relations activities to ensure proper and effective process are in place and effective towards strengthening retention rate among sea staff.

- Plan, manage and monitor the application of initiatives, programs and facilities for sea staff to ensure it attracts retention rates among sea staff and attrition rates are kept manageable.

- Plan, manage & coordinate corporate visits, conducive working initiatives to promote healthy conscience on the welfare of sea staff and their families.

+ 9 years? experience in corporate and commercial legal services. Maritime and oil & gas experience is an added advantage

Description:
+ Assist SM in the provision of legal services including the review, drafting and negotiation of legal documents pertaining to joint ventures, mergers, acquisitions and sale & purchase of shares exercises undertaken by Offshore Business Unit, LNG Business Unit and other entities/business units within the MISC Group of Companies (?Group) as and when required including international ventures

+ With MISC?s foray into new countries and the venturing into new types of businesses , the incumbent is required to expand the scope/provision of legal services to support these new areas. In doing so, the incumbent is required to review, develop and consider new types of contracts and consider local law issues in a manner which best protects MISC?s interests in accordance with the relevant jurisdictions

+ Manage and supervise executives output of work in this regard

+ Provision of legal services including strategies, supervise, negotiate, draft and finalize legal documents pertaining to specific projects in relation to Offshore Business Unit and LNG Business Unit to protect the interest of MISC

+ Providing legal services for procurement exercises in relation to Special projects undertaken by Offshore Business Unit and/or LNG Business Unit in relation to the implementation of the projects

+ Manage, provide/or supervise the provision of legal services and advice for financing matters e.g Loans ? corporate loans and project financing, Bonds, Debt Security etc. by reviewing and negotiating the facility and security agreements and making recommendations to minimize the Group?s exposure, risk and liabilities.

+ Provide and/or supervise the Executives in the provision of legal services for general legal issues arising from the above mentioned business units and for IPR issues of the Group.

+ Legal services includes the drafting. Review, negotiating and finalizing various commercial agreement including various charter parties, confidentially agreements and subcontracts both internationally and domestically.

+ This also involves attending to legal issues arising from the operation of these business units and subsidiaries

+ Assist SM and/or provide and/or supervise the Executives in the provision of legal services to HR Department in relation to employment laws/industrial issues involving both shore staff and sea staff

+ Assist SM in the provision of managing and supervising the implementation of Company?s IPR policy, including for MISC? Group in Malaysia and international i.e in various jurisdictions depending on relevancy and MISC? presence

+ MISC?s intellectual property include MISC Group?s trademarks i.e logos, taglines and patents for new inventions which are developed in the course of business and over which MISC would want to protect and claim ownership. LCSA manages in IPRs of MISC Group including MISC Berhad, MMHE, ALAM, MILS, MISA etc excluding AET.

+ Assist SM in the performance of and/or perform the functions of Company Secretary for selected MISC Subsidiary companies and joint ventures companies relevant to the BU/SUs.

+ Ensures that company affairs are conducted in conformance with corporate governance requirements and in accordance with relevant laws such as the Companies Act and Securities Regulations.

+ With the assistance of Company Secretarial Division, to ensure the proper administration and maintenance of the company?s statutory records

+ Provide legal advice to the companies in relation to Company?s secretarial and compliance matters to ensure no penal sanctions are being met out against such company
