| 1 | Form 24 Dan 49, - Thu 14/Aug/2008 9:19pm Borang 24 menerangkan berapa jumlah saham dibenar dan saham dibayar serta senarai pemegang saham sesebuah syarikat. Manakala Borang 49 pula menerangkan senarai nama pengarah, pengurus dan setiausaha syarikat. Apabila saham dibenar dan dibayar hendak dinaikkan borang 24 perlulah diisi. Begitu juga, apabila terdapat perlantikan atau peletakan jawatan oleh pengarah, pengurus atau setiausaha, borang 49 perlu diisi. Kedua-dua borang ini perlu diserah simpan dengan ROC. |

Sometimes, even the company is registered with ROF or MFA can mislead you. My advise, go to the seminar organised by MFA and MECD and understand well on the franchise concept. Good luck. |
| 4 | Basic Franchising Questions - Thu 24/Jan/2008 1:06pm Hi Sam & Johnathan You have to incorporate a company in Malaysia with the Registrar of Companies, Companies Commission Malaysia. Minimum 2 Malaysian Directors (compulsory) and minimum RM2 subscribers' shares. Normally RM1 each of the director will take up the share. However, as far as I know, Sdn Bhd company is for the purpose of application for loan with the bank. I think, if you use your own fund, the franchise can be under you own name or a sole proprietor. As for the incorporation of the company, you can get advise from any of the registered company secretary in Malaysia. I thought there are consultants appointed by the authority but I don't think they will give you free advise. That's why they did not use this platform. |
